Welcome to BuildX (“BuildX”, “we”, “our”, or “us”), a cloud-based software platform providing AI Digital Workforce, ERP, CRM, Project Management, Accounting, Procurement, HR, BIM, AR, and related business automation services.

By accessing or using BuildX, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you may not access or use our services.

1. DEFINITIONS

Platform refers to BuildX software, website, mobile applications, APIs, and related services.

Customer refers to any individual, company, organization, or legal entity using BuildX.

Subscription refers to any paid or free access plan offered by BuildX.

AI Employee refers to AI-powered digital workforce features provided within BuildX.

User refers to any authorized person accessing the Platform under a Customer account.

2. ELIGIBILITY

You must be at least 18 years old and legally authorized to enter into binding agreements on behalf of yourself or your organization.

By registering for BuildX, you represent and warrant that:

  • The information you provide is accurate and complete.
  • You have authority to act on behalf of your organization.
  • You will comply with all applicable laws and regulations.

3. SERVICES

BuildX provides business software services that may include:

  • AI Digital Workforce (AI Employees)
  • ERP
  • CRM
  • Accounting
  • Procurement
  • Human Resources
  • Project Management
  • Inventory Management
  • BIM & AR Features
  • Reporting and Analytics
  • Third-party integrations

Features may vary based on the subscription plan purchased.

BuildX reserves the right to add, modify, suspend, or discontinue any feature at any time.

4. ACCOUNT RESPONSIBILITIES

Customers are responsible for:

  • Maintaining account security
  • Keeping login credentials confidential
  • Managing user permissions
  • All activities performed under their account

BuildX is not responsible for losses resulting from unauthorized access caused by customer negligence.

5. ACCEPTABLE USE

Customers shall not:

  • Use BuildX for unlawful activities.
  • Upload malicious software or harmful code.
  • Attempt to gain unauthorized access to the platform.
  • Reverse engineer or copy BuildX software.
  • Use AI features to generate illegal, harmful, fraudulent, defamatory, or infringing content.
  • Resell BuildX without written authorization.

Violation may result in suspension or termination of services.

6. CUSTOMER DATA

Customers retain ownership of all data uploaded to BuildX.

By using the platform, Customers grant BuildX a limited license to process, store, and transmit such data solely for providing the services.

BuildX will take commercially reasonable measures to protect customer data but does not guarantee absolute security.

Customers remain responsible for:

  • Data accuracy
  • Data backups
  • Compliance with applicable privacy laws

7. AI-GENERATED CONTENT DISCLAIMER

BuildX AI Employees utilize third-party artificial intelligence models.

Customers acknowledge that:

  • AI-generated outputs may contain inaccuracies.
  • AI outputs should be reviewed before business use.
  • BuildX does not guarantee the accuracy, completeness, or suitability of AI-generated content.

Customers remain solely responsible for decisions made based on AI-generated outputs.

8. THIRD-PARTY SERVICES

BuildX may integrate with third-party providers including but not limited to:

  • OpenAI
  • WhatsApp providers
  • Email providers
  • Cloud hosting providers
  • Social media platforms
  • Payment gateways

BuildX is not responsible for outages, service disruptions, pricing changes, or policy changes imposed by third-party providers.

9. SUBSCRIPTIONS AND PAYMENTS

Subscription fees are billed in advance based on the selected plan.

All fees are:

  • Non-transferable
  • Exclusive of applicable taxes
  • Payable according to the billing cycle selected

Failure to make payment may result in suspension or termination of service.

BuildX reserves the right to change pricing with prior notice.

10. REFUND POLICY

10.1 Free Trial

Customers are encouraged to evaluate BuildX through available demonstrations or trial access before purchasing a subscription.

10.2 Subscription Fees

Unless otherwise required by applicable law, subscription fees are generally non-refundable once paid.

10.3 Initial Subscription Refund

For first-time customers only, BuildX may provide a refund request period of:

7 calendar days from the initial subscription purchase date.

Refund requests will be reviewed subject to the following conditions:

  • The request is submitted within 7 calendar days.
  • The account has not exceeded reasonable platform usage.
  • No significant AI token consumption has occurred.
  • No custom implementation or professional services have been delivered.

BuildX reserves sole discretion in determining refund eligibility.

10.4 Non-Refundable Items

The following are non-refundable:

  • Renewed subscriptions
  • AI token usage
  • Third-party service costs
  • Setup fees
  • Custom development
  • Data migration services
  • Consulting services
  • Training services
  • Enterprise implementation projects

10.5 Service Cancellation

Customers may cancel subscriptions at any time.

Cancellation prevents future billing but does not automatically entitle the customer to a refund for the current billing period.

11. SERVICE AVAILABILITY

BuildX aims to provide reliable service availability but does not guarantee uninterrupted access.

Scheduled maintenance, updates, and unforeseen events may result in temporary downtime.

BuildX shall not be liable for losses arising from service interruptions.

12. INTELLECTUAL PROPERTY

All rights, title, and interest in BuildX, including software, designs, trademarks, documentation, and technology, remain the exclusive property of BuildX and its licensors.

No ownership rights are transferred to Customers.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, BuildX shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Lost profits
  • Lost revenue
  • Business interruption
  • Loss of data

BuildX’s total liability shall not exceed the amount paid by the Customer to BuildX during the previous three (3) months preceding the claim.

14. INDEMNIFICATION

Customers agree to indemnify and hold harmless BuildX, its officers, employees, affiliates, and partners from claims arising out of:

  • Customer content
  • Violation of these Terms
  • Misuse of the platform
  • Violation of applicable laws

15. TERMINATION

BuildX may suspend or terminate access if:

  • These Terms are violated.
  • Payment obligations are not met.
  • Fraudulent or abusive activities are detected.

Upon termination, access to services may be revoked immediately.

16. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

Any disputes shall first be resolved through good-faith negotiation.

If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts located in Indonesia.

17. CHANGES TO TERMS

BuildX may update these Terms from time to time.

Continued use of the platform after updates constitutes acceptance of the revised Terms.
